Mid-Market Acquisition — Manufacturing Sector

The Situation

A Kuala Lumpur-based private equity firm was acquiring a mid-sized manufacturer in Johor. Due diligence had been partially completed by another party, but key areas remained unreviewed and the timeline was tightening.

What We Did

We took over due diligence coordination, identified several contractual and employment-related risks not previously flagged, and advised on structuring adjustments to the transaction terms. We also prepared the sale and purchase agreement and coordinated regulatory notifications.

Result

Transaction completed within the revised timeline. Risk areas identified were addressed through negotiated price adjustments and warranty provisions. Client subsequently engaged Provexa for a second acquisition the following year.

Employment Dispute — Retail Employer, Multiple Claims

The Situation

A retail employer was facing three simultaneous unfair dismissal representations before the Industrial Court. The HR team had limited experience managing formal tribunal proceedings and needed representation and coordination support.

What We Did

We advised the employer on the legal merits of each claim separately, coordinated submissions to the Industrial Court, and provided strategic guidance on whether each matter warranted settlement discussion or full hearing. Two matters were resolved prior to hearing.

Result

Two claims resolved by negotiated settlement. The third proceeded to a hearing at which the employer's position was upheld. The HR team also received guidance on internal procedure improvements to reduce future dispute exposure.

Compliance Training — Financial Services Group

The Situation

A financial services group was preparing for an internal regulatory review and needed compliance training materials covering anti-bribery, PDPA obligations, and competition law — tailored to their sector and team structure.

What We Did

We developed a three-module training program over a five-week period, covering each compliance topic with sector-specific scenarios. Slide decks and detailed trainer notes were produced for delivery by the group's internal compliance function.

Result

Materials delivered within the agreed timeline and used for staff training across three offices. Positive feedback from the regulatory review regarding the quality and specificity of the group's compliance training documentation.
